This document is a working draft provided for transparency and is pending review by legal counsel. It does not yet constitute final, binding terms.

Effective date: July 22, 2026

This Privacy Policy explains how CapIntent, LLC ("CapIntent," "we," "us," or "our") collects, uses, shares, and protects information in connection with the CapIntent platform and related services (the "Service"). By using the Service, you agree to the practices described here.

1. Information We Collect

2. How We Use Information

We use information to: operate and provide the Service; verify and vet members; produce blind, ranked matches and match rationales; facilitate mutual-consent introductions; power informational features such as the chatbot; communicate with you, including sending the email digests and notifications you have selected; maintain security and prevent abuse; comply with legal obligations; and improve the Service.

3. The Confidentiality Model

Confidentiality is central to how the Service works. For private intents, your identity, firm, and contact details are not revealed to a potential counterpart before both sides mutually consent to a match. Public intents are, by design, broadcast — openly viewable and matchable — and are not subject to this restriction. Another member's private information is never surfaced to you through informational features such as the chatbot; the chatbot draws only on public firm data, public intents, your own intents, and your own uploads. Match records are used internally to operate the consent flow and are not exposed to informational features.

4. Automated Processing and Sub-Processors

The Service uses artificial intelligence to rank matches, generate rationales, and power informational features. To do this, we share limited content with trusted service providers that perform inference on our behalf — currently Anthropic (for text and language model processing) and OpenAI (for generating embeddings used in matching). These providers process data to return results to us and are not used to expose confidential counterpart identities. We also use infrastructure and hosting providers to store and secure data. These providers are bound by contractual obligations to protect the information they process for us.

5. How We Share Information

We do not sell your personal information. We share information only:

6. Data Retention

We retain information for as long as needed to provide the Service and for legitimate business and legal purposes. Intents expire by default approximately 90 days after creation and are deactivated at that point. Account and profile information is retained while your account is active and for a reasonable period afterward, unless a longer period is required or permitted by law. You may request deletion as described below.

7. Security

We use technical and organizational measures designed to protect information, including managed credential storage and access controls. Credentials and secrets are never stored in plain text. No method of transmission or storage is completely secure, however, and we cannot guarantee absolute security.

8. Your Rights and Choices

Depending on your location, you may have rights to access, correct, export, or delete your personal information, and to object to or restrict certain processing. Within the Service you can also control how your information is used — for example, by toggling whether your work email and phone are displayed on your profile, whether your profile is discoverable, the visibility of your intents, and your email-digest preferences. To exercise a right or make a request, contact us at privacy@capintent.com. We may need to verify your identity before acting on a request.

9. Cookies and Authentication

The Service uses cookies and similar technologies, including authentication tokens, to keep you signed in, remember preferences, and maintain security. Disabling these may limit your ability to use the Service.

10. Children's Privacy

The Service is intended for professionals and is not directed to individuals under 18. We do not knowingly collect personal information from children. If you believe a child has provided us information, contact us and we will take appropriate steps to delete it.

11. International Users

The Service is operated from the United States, and information we collect is processed and stored in the United States and other locations where we or our service providers operate. By using the Service, you understand that your information may be transferred to and processed in jurisdictions that may have different data-protection laws than your own.

12. Changes to This Policy

We may update this Privacy Policy from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised policy.

13. Contact
