Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and CapIntent, LLC ("CapIntent," "we," "us," or "our") and govern your access to and use of the CapIntent platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, being granted membership, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated here by reference. You represent that you are accessing the Service on behalf of yourself and, where applicable, the firm you are authorized to represent.
2. Eligibility and Membership
The Service is an invitation-oriented, professional network intended solely for verified participants in private capital markets. Membership is subject to manual review and approval by CapIntent. Submitting a registration or profile does not guarantee acceptance, and we may approve, decline, suspend, or revoke membership at our sole discretion. You must be at least 18 years old and legally able to enter into these Terms. You agree to provide accurate, current, and complete information and to keep it up to date.
3. Description of the Service
CapIntent is an "intent marketplace" for private capital. Rather than listing deals, members express the intents they are trying to accomplish (for example, to acquire, co-invest, raise capital, take a board seat, or lend), and the Service produces blind, ranked matches that reveal counterpart identities only after mutual consent. The Service may use automated methods, including artificial intelligence and large language models, to rank potential matches, generate match rationales, and power informational features such as the chatbot.
The Service is an introduction and information tool only. CapIntent is not a broker, dealer, investment adviser, exchange, or fiduciary, and nothing on the Service constitutes investment, legal, tax, accounting, or other professional advice, an offer or solicitation to buy or sell any security or interest, or a recommendation to enter into any transaction. Matches, scores, and rationales are informational only and are not endorsements or assurances of suitability. You are solely responsible for your own due diligence, decisions, and any transactions you pursue.
4. Accounts and Authentication
Access to the Service uses third-party authentication (including LinkedIn) and, where applicable, a verified work email address. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify us promptly at support@capintent.com if you suspect unauthorized use. You may not share your account, impersonate any person or firm, or misrepresent your affiliation or authority.
5. Member Conduct and Intents
You are responsible for the content of the intents, profile information, and any materials you submit ("Member Content"), and you represent that you have the right to share it and that it is accurate and not misleading. You agree not to:
- misrepresent your identity, firm, mandate, or capacity to transact;
- submit unlawful, fraudulent, infringing, or confidential third-party information you are not authorized to disclose;
- attempt to de-anonymize, scrape, harvest, or reverse-engineer blind matches or other members' non-public information;
- use the Service to distribute spam, solicit outside the Service's intended purpose, or circumvent the mutual-consent introduction flow; or
- interfere with, probe, or disrupt the security or integrity of the Service.
We may remove Member Content or restrict accounts that violate these Terms.
6. Confidentiality and Introductions
The Service is designed to protect member confidentiality. For private intents, counterpart identity is withheld until both sides consent to a match, at which point an introduction is made and identifying details are shared with the matched counterpart. Information you learn about another member through a mutual match or introduction — including their identity, firm, contact details, and the existence and substance of the introduction — is confidential. You agree to use it only to evaluate and pursue the potential opportunity and not to disclose it to third parties or use it to circumvent the Service. Public intents are, by design, openly viewable and are not subject to this confidentiality restriction.
7. Intellectual Property
The Service, including its software, design, text, and other materials (excluding Member Content), is owned by CapIntent or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of your Member Content and grant CapIntent a worldwide, non-exclusive license to host, process, display, and use it to operate, provide, and improve the Service consistent with our Privacy Policy.
8. AI-Generated Content and Third-Party Services
The Service relies on third-party providers, including providers of large language models and embeddings, to deliver matching, rationales, and informational features. Automated and AI-generated output may be incomplete, inaccurate, or outdated, and should not be relied upon as a statement of fact or as professional advice. Your use of any third-party service integrated with the Service may also be subject to that provider's terms. We do not warrant any third-party service.
9. Intent Expiration
Intents carry an expiration date (by default approximately 90 days after creation) and are automatically deactivated when they expire. You are responsible for refreshing or recreating intents you wish to keep active.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT MATCHES WILL RESULT IN TRANSACTIONS, OR THAT ANY MEMBER, FIRM, OR OPPORTUNITY IS ACCURATELY REPRESENTED OR SUITABLE FOR YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPINTENT AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST OPPORTUNITIES, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify and hold harmless CapIntent and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Member Content, your use of the Service, your dealings with other members, or your breach of these Terms or of applicable law.
13. Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Service or its members. Provisions that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction and venue there, except where applicable law provides otherwise.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
